Title: Natalie Meadow PDP Developer Agreement
Background: The Milton City Council approved the detailed plan in 2020 for the Natalie
MeadowPDPthat consists of a proposed 148 new single family residential
homes. The propertyencompasses 40 acres of land, andlies to the
northwest of the Santa Rosa Christian School, and also has access to the
property from Willard Norris Road.
Summary: Staff has been working with the developer and the owner of the property to
create a proposed payment plan for water and sewer impact fees. These
fees total to approximately $775,000.00, and are required by Ordinance
1277-08 to be paid prior to execution of any final plan/final platfor the
subdivision. Any adoption of a development agreement by the City
Council would waive the requirements of ordinance 1277-08 that conflict
with the agreement. In the case of this subdivision, the agreement would
require a portion of the impact fees to be paid up front, while deferring the
balance of the impact fees to be paid by the builder at the time that each
individual home is permitted by the city.
Recommendation: Staff recommends approval of the proposeddevelopment agreement.

AN ORDINANCE AMENDING ORDINANCE NO. 1261-07 TO CLARIFY
SECTION 25 THEREOF; TO PROVIDE THAT ONLY DEVELOPERS OF
RESIDENTIAL SUBDIVISIONS SHALL BE REQUIRED TO PAY 25%
OF IMPACT AND CONNECTION/TAP FEES UPON EXECUTION OF
THE DEPARTMENT OF ENVIRONMENTAL PROTECTION PERMIT
AND THE REMAINDER PRIOR TO APPROVAL OF THE FIRST PLAT
OR FINAL INSPECTION BY THE CITY; PROVIDING FOR
SEVERABILITY; REPEALING ALL PORTIONS OF ORDINANCES IN
CONFLICT HEREWITH; AND PROVIDING AN EFFECTIVE DATE.
BE IT ORDAINED BY THE CITY OF MILTON, FLORIDA:
SECTION 1: Section 25 Ordinance 1261-07 is amended to read as follows:

CONNECTION/IMPACT FEE POLICY:
Connection/tap and impact fees are intended to apply for areas adj cent to existing lines
where the City's water and sewer services are adequate to meet customer demand. Where City
lines are not adj cent to the development, the developer/owner of the property will be
responsible for the cost of extending the water or sewer lines for service upon the affirmative
recommendation of the City Manager arid approval of the City Council.
The developer/owner of residential subdivisions will be required to pay 25 % of the water
and sewer impact fees and connection/tap fees due to the City for the new development prior to
the execution of the Department of Environmental Protection collection system constriction
permit by the City.
Payment of the remainder of the impact and connection/tap fees for residential
subdivisions shall be made for pro ects within the City limits of Milton prior to the approval of
the final plat by the City Council. For residential subdivision pro ects outside the City limits of
Milton, final payment shall be made following the final inspection by the City of Milton, and
prior to any on-site construction of any building.
It is also the City's intent to forego fees on capacity that has already been obligated and
recover impact and connection/tap fees for new growth additions. Impact and connection/tap fees
shall be recovered for growth that impacts our present system, and not for those facilities that
existed prior to the adoption of the impact fee policy (July II, 1995).

SECTION 2: SEVERABILITY
If any section, sentence, clause or phrase or this Ordinance is held to be invalid OF
unconstitutional by any Court of competent jurisdiction, then said holding shall in no way affect
the validity of the remaining portions of this Ordinance.
SECTION 3: REPEALER
All ordinance and parts of ordinances in conflict with this ordinance are hereby repealed.
SECTION 4: EFFECTIVE DATE
This Ordinance shall be effective upon passage by the City Council.

DEVELOPER AGREEMENT
THIS AGREEMENT is made and entered into by and between THE CITY OF MILTON, a
governmental body, corporate and politic, (“City”) and MILTON SD, LLC (“Owner”) and THE
MITCHELL COMPANY LLC., (“Builder”). This Agreement shall be effective as of the date on which it
has been signed by the Owner, Builder and the City or their representatives, as indicated below.
WHEREAS, the Owner owns certain lands known as the Natalie Meadow Phase 1 and Phase 2
PDP, also described in Exhibit “A” attached hereto (the “Property”) and intend to construct on the
Property a single family subdivision of not less than 148 lots (the “Project”); and
WHEREAS, the Builder desires the City to provide gas, water and wastewater service to the
Project; and
WHEREAS, the City is willing to provide such service upon the terms and conditions hereinafter
set forth;
WHEREAS, the Builder will provide City of Milton natural gas access to all homes in the
subdivision whose owners will accept it.
NOW, THEREFORE, in consideration of the premises and the mutual covenants herein contained
the Owner, Builder and the City hereby agree as follows:
1. The Owner shall, at the sole cost and expense of the Owner construct or cause to be
constructed on the project property such sewer mains, lift station, sewer laterals, potable water lines, fire
hydrants and other facilities as may be necessary for the City to provide such service to the Project.
Laterals to serve each lot or parcel within the Project shall be stubbed out to the property line. All
construction shall meet or exceed city codes and standards. The Builder shall utilize City water and
wastewater services for all lots.
2. The Owner shall pay all Project costs of any kind for the onsite portion of the work
described above.
3. The City hereby waives compliance by the Builder and Owner with Ordinance No. 1277-
08. The Owner will make one payment of an amount totaling 25% of all required water and sewer impact
fees applicable for Natalie Meadow Phase 1 at the rate then in effect upon issuance of a development
order. The builder will pay the impact fees for each development order it pulls after the final plat of
Phase 1 is approved and recorded, and prior to obtaining a building permit. The builder will not utilize
the credits paid by the Owner until it purchases the 130th through 148th lots of the full subdivision. The
builder will be responsible for paying all connection fees prior to issuance of the individual development
orders for all 148 lots within Phases 1 and 2 of the subdivision. The builder also agrees to purchase at
least 9 water and sewer taps per quarter starting the month the plat is recorded. The City agrees to
allocate 148 water and sewer taps upon receipt of the 25% initial payment for Phase 1 of the PDP to be
made by the Owner. All three parties agree that all taps will be allocated or purchased by the end of a six
year period.

4. All such design and construction shall be in accordance with the latest edition of the
Public Works Manual of the City.
5. No sewer construction shall be commenced until plans and specifications therefore have
been submitted to and approved in writing by the City and other agencies or permitting authorities having
jurisdiction.
6. Employees and agents of the City may at any reasonable time during or after
construction enter upon the Property for the purpose of inspecting such facilities.
7. Upon completion of construction of the onsite facilities, they shall be certified by the
engineer for the Owner and shall be subject to final inspection by the City. Upon determination by the
City that the facilities have been constructed by the Owner in accordance with approved plans and
specifications and all applicable requirements of the City and other agencies having jurisdiction, and upon
payment by the Builder of all applicable rates, fees and charges established by the City, the City shall
accept the facilities and provide service to the Project. No facility shall be connected to any utility system
of the City and no individual service connection shall be made to any such facility prior to the acceptance
of such facility by the City.
8. Upon acceptance of any facility by the City, such facility, together with all permits,
easements, warranties, engineering drawings, and other matters owned by the land owner in connection
therewith shall be delivered to and owned by the City. The Owner shall execute such instruments of
conveyance as the City may require, and shall provide the City two (2) paper copies and one electronic
file of as-built drawings.
9. The Owner hereby warrants the onsite facilities to be free of defects in material,
workmanship and design for two (2) years after acceptance thereof by the City. Any such defect
appearing within two (2) years after acceptance shall be corrected by the Owner or, at the option of the
City, shall be corrected by the City and the Owner shall reimburse the City for the cost of such correction
within 30 days after receipt of a statement for same.
10. The Owner and Builder hereby release and agree to hold harmless, indemnify, protect
and defend the City, its members, officers, employees and agents from any and all claims, damages,
actions or causes of action relating to the planning, design and construction of the onsite facilities, or
relating to any denial by the Florida Department of Environmental Regulation or other authority of any
permit to provide utility service to the Property, or any failure by the Owner to construct such facilities or
develop the Property.
11. This Agreement may not be amended except by a written instrument executed by the
Owner, Builder, and the City. All documents necessary for the implementation of this Agreement,
including all permits, engineering design and construction contracts, plans and specifications for the
facilities as and when approved and filed with the City are a part of this Agreement and incorporated
herein by reference.
12. This Agreement shall be governed by the laws of the State of Florida.
